WakeWell Terms of Use

Welcome to WakeWell. These Terms of Use ("Terms") govern your access to and use of WakeWell's website and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. What WakeWell Is — and Is Not
WakeWell is a free information and referral service. We publish educational information about sleep apnea, weight, and related health topics, and we help connect users with independent, licensed sleep doctors in their state.
WakeWell is not a healthcare provider. We do not practice medicine, provide medical advice, diagnose or treat any condition, prescribe any medication, or recommend any specific doctor or course of treatment. Using the Services does not create a doctor-patient relationship between you and WakeWell. Any doctor you contact through WakeWell is independent and solely responsible for the care they provide.
2. Acceptance of Terms
By using the Services, you acknowledge that you have read, understood, and agreed to these Terms. WakeWell may modify these Terms at any time. Your continued use after changes are posted constitutes acceptance of the updated Terms.
3. Eligibility and Use
You must be at least 18 years old to use the Services. You may use the Services only for personal, non-commercial purposes and in accordance with these Terms and applicable law.
You agree not to:
Use the Services for unlawful, fraudulent, or abusive purposes.
Interfere with or disrupt the Services.
Attempt to gain unauthorized access to WakeWell systems or data.

Copy, reverse-engineer, replicate, or misappropriate any proprietary information, trade secrets, methods, or intellectual property belonging to WakeWell.
Access the Services as, or on behalf of, a competitor for any purpose, including gathering insights, benchmarking, or replicating features.

To use certain features, you may provide information such as your email address and the state where you live. By submitting this information, you understand and agree that:
WakeWell may use your information to send you a list of sleep doctors licensed in your state and related informational communications.
WakeWell may share your contact information with independent sleep doctors and healthcare providers so they can contact you about their services.
You may opt out of communications at any time using the unsubscribe link or by contacting us.
You represent that the information you submit is truthful and accurate, and that you are not accessing the Services on behalf of a competitor. Our collection and use of your information is further described in our Privacy Policy, which is incorporated into these Terms by reference.
5. No Medical Advice
The information provided through the Services is for general informational and educational purposes only and is not medical advice. It should not be relied upon for medical decisions. Only direct communication with a licensed healthcare provider constitutes medical advice. Always consult a qualified provider about your health. WakeWell does not guarantee that any doctor will accept you as a patient or provide any particular service.
6. Intellectual Property
All content, trademarks, and intellectual property on the Services are owned by WakeWell or its licensors. You may not copy, distribute, modify, or exploit any WakeWell content without prior written consent. Competitors are prohibited from using the Services for reverse engineering, benchmarking, or misappropriating WakeWell's intellectual property, trade secrets, or methods.
7. Disclaimers and Limitation of Liability
The Services are provided "as is" and "as available," without warranties of any kind, express or implied. WakeWell does not warrant that the Services or any information (including doctor listings) will be accurate, complete, current, or uninterrupted.
To the fullest extent permitted by law, WakeWell is not liable for any indirect, incidental, or consequential damages arising from your use of the Services, your reliance on any information provided, or your interactions with any doctor or provider found through the Services. WakeWell may modify or discontinue the Services at any time without notice and is not liable for any resulting interruption or loss.
8. Indemnification
You agree to indemnify and hold WakeWell, its affiliates, officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
9. Termination
WakeWell may suspend or terminate your access to the Services at any time if you violate these Terms or engage in conduct that may harm WakeWell or its users.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Michigan. Any disputes shall be resolved through binding arbitration in Royal Oak, Michigan, unless prohibited by law.
11. Electronic Communications
By using the Services, you consent to receive electronic communications from WakeWell and agree that electronic agreements, notices, disclosures, and signatures satisfy any legal requirement that such communications be in writing.
